Trove Design Studio grants to each template package purchaser a single-use license. This license applies to all templates purchased on the www.trovedesignstudio.com website as well as any Bonus Materials that are included in the package. This license means you can use the template only once, for one website, and the Bonus Materials are only intended to be used by one person (the purchaser). If you wish to use the template or Bonus Materials for additional purposes, you will have to purchase an additional template package from Trove Design Studio. This license is non-exclusive, meaning that other people will be able to purchase our template packages. However, some templates are sold on a limited release basis; meaning those templates will only be sold to a set maximum of purchasers, allowing you to have a product that is still unique. To be clear, you cannot resell, lease, duplicate, license, sub-license, redistribute, or offer any Trove Design Studio product for free to any third party or marketplace.

Once you purchase the Independent Contractor Agreement, you will not be able to cancel your purchase, and no refunds will be issued by Trove Design Studio.

RELEASE OF LIABILITY, WAIVER OF CLAIMS AND ASSUMPTION OF RISKS AND INDEMNITY

BY PURCHASING THIS DOCUMENT YOU WILL WAIVE CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE. PLEASE READ CAREFULLY

In consideration of Amberley Reimer, doing business as Trove Design Studio (the “Business”) providing template agreements for interior design services, e-design services and independent contractor agreement or such other documentation (“Template Agreements”) to the individual named below (”I” or “me”), I agree to all the terms and conditions set forth in this Release (the “Release”).

ASSUMPTION OF RISKS

I AM AWARE AND UNDERSTAND THAT I ACCEPT ALL RISKS PERTAINING TO THE USE OF THE TEMPLATE AGREEMENTS. ACKNOWLEDGE THAT I AM VOLUNTARILY UTILIZING THE TEMPLATE AGREEMENTS AND THAT I HAVE NOT BEEN PROVIDED WITH ANY LEGAL ADVICE PERTAINING TO THE TEMPLATE AGREEMENTS AND THAT I AM UTILIZING THEM AT MY OWN RISK. I FREELY ACCEPT AND FULLY ASSUME ANY AND ALL OF THE RISKS, DANGERS AND HAZARDS INVOLVED AND THE POSSIBILITY OF INVALIDITY, INAPPLICABILITY, ERRORS AND OMISSIONS AND THIRD PARTY CLAIMS AGAINST ME PERTAINING TO THE TEMPLATE AGREEMENTS.

WAIVER AND RELEASE

I hereby expressly waive and release any and all claims which I have or may in the future have against the Business, its employees, its affiliates, and their respective directors, officers, employees, agents, representatives, shareholders, successors and assigns (collectively, “Releasees”), arising out of or attributable to the utilization of the Template Agreements due to any cause whatsoever, including without limitation the negligence of the Business or any other Releasee, breach of contract, or breach of any statutory or other duty of care owing under occupiers liability legislation or otherwise. I covenant not to make or bring any such claim against the Business or any other Releasee, and forever release and discharge the Business and all other Releasees from liability under such claims.

INDEMNIFICATION

I shall defend, indemnify and hold harmless the Business and all other Releasees against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable legal fees, in connection with any third-party claim, suit, action or proceeding arising out of or resulting from the Template Agreements.

LEGAL ADVICE

I acknowledge and agree that the Template Agreement is simply a template, which is to be discussed with my own legal counsel, and revised accordingly. Further, I acknowledge and agree that the Template Agreements do not contain legal advice that I should rely on.

ACKNOWLEDGEMENTS

This Release constitutes the entire agreement between the Business and me with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, Releases, representations and warranties, both written and oral, with respect to such subject matter. If any term or provision of this Release is held to be invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall not affect any other term or provision of this Release or invalidate or render unenforceable such term or provision in any other jurisdiction. This Release is binding on and shall enure to the benefit of me and my heirs and next-of-kin, and the Business and its successors and assigns. This Release shall be governed by and construed in accordance with the laws of Manitoba and the federal laws of Canada applicable therein. Any claim or cause of action arising under this Release may be brought only in the courts of Manitoba, and I hereby consent to the exclusive jurisdiction of such courts.

I ACKNOWLEDGE THAT I HAVE READ AND UNDERSTAND ALL OF THE TERMS OF THIS RELEASE AND THAT I AM VOLUNTARILY WAIVING SUBSTANTIAL LEGAL RIGHTS (ON MY BEHALF AND ON BEHALF OF MY HEIRS, EXECUTORS, ADMINISTRATORS AND NEXT-OF-KIN), INCLUDING THE RIGHT TO SUE THE BUSINESS AND THE RELEASEES.
